FIT BIZ SOLUTIONS SERVICES AGREEMENT:
Please choose below the Fit Biz Solutions Service subscriptions that you would like to utilize.
You can add, remove or put subscriptions on hold with a 30 day notice. Upon your selection, the Fit Biz Solutions Services team will begin taking you through the onboarding process. During this process you will be assigned to an Account Manager who will help you navigate the priority of your business project needs.
ALL SERVICE CHARGES ARE BILLED MONTHLY AND REQUIRE A 30 DAY WRITTEN CANCELLATION OR HOLD OF SERVICE REQUEST COMPLETED.

This is required before the request is processed, we do this to make sure we can transition all work, remove access, and complete anything needed to part ways appropriately.
1. IDENTIFICATION OF PARTIES SERVICES PROVIDED:
Today, an agreement (or "Service Agreement") is being made. This agreement is between the fitness business above (we'll call them the "Client") and Fit Biz Solutions (or "Fit Biz Solutions"). Sometimes, we refer to each of them as a "Party", and when we talk about both of them together, we call them the "Parties".
The Client has asked Fit Biz Solutions for their Virtual Assistant (VA) Services. In response, Fit Biz Solutions has agreed to provide these services, which the Client has chosen this agreement outlines the details.
With this agreement, both the Client and Fit Biz Solutions are making promises to each other, which we've noted down in this agreement. Both parties agree to stick to these rules in this agreement.
2. FEES AND GENERAL SCOPE OF WORK:
General Scope of Work is subject to Fit Biz Solutions Services can adjust the scope of work based on Fit Biz Solutions business needs.

3. COOPERATION AND COMMUNICATION STANDARDS:
All communication about projects and services - including talking about tasks, approvals, asking for changes, asking for logins and other items - should only happen in the Nifty PM Discussion Tab.
We won't communicate in Facebook or Instagram messenger, Trello, WhatsApp, or any other way about Virtual Specialist Services.
Clients can also use the Live Chat support inside the Fit Biz CRM for Customer service questions, training, and usage of the Fit Biz CRM.
Both Fit Biz Solutions and the Client need to work together and share any information that might be needed to do the VA Services well. Fit Biz Solutions can record all calls for training purposes.
The Client should provide everything Fit Biz Solutions needs to do their work well, including but not limited to:
Logins for Software needed to do the work
Logos
Brand Guides
Onboarding Forms
Content as needed
We expect everyone to be polite and respectful when talking to each other. Fit Biz Solutions will always try to respond to the Client's messages within 8 - 16 business hours. We ask all clients to follow these communication rules as well to ensure no delays in project completion.
If a client is disrespectful or demeaning towards the Fit Biz Solutions Team, Fit Biz Solutions can end the agreement right away. The client won't be refunded for any work they've already paid for, and they'll have to pay for any work that's already done. Then, all work will stop right away.
The communication expectation is that all parties (Fit Biz Solutions and Client) always communicate with respect, courtesy, and never yell, talk down to, belittle, or berate, when speaking.
This is the only way that Fit Biz Solutions and the Client can have a good working relationship.
4. SOLUTIONS ORDER FORM REQUIREMENTS:
When a client wants the Fit Biz Solutions team to work on a project, they need to ask for it using the Solutions Order Form from the Order Solution Tab in Nifty PM.
Each project will have varying days to completion based on scope of work.
Each project needs to be asked for on its own form.
5. INTELLECTUAL PROPERTY:
Any work, ideas, or creative that are custom made by Fit Biz Solutions and the Client belong to the Client. These could be things like new campaigns, discoveries, or even specific ways of doing things. Both Fit Biz Solutions and the Client agree not to talk about or share each other's private information unless they've agreed to in writing.
Fit Biz Solutions will give the Client access to any information or things that belong to them. If Client decides to leave Fit Biz Solutions and has the Fit Biz CRM with solutions that are originally owned by Fit Biz Solutions, the CRM will not be allowed to transfer out with that content. A Snapshot can be made with the custom content and anything items the client has created themselves.
Sometimes, Fit Biz Solutions might need to record or take photos of the Client's image, voice, or work. The Client lets Fit Biz Solutions do this and agrees that Fit Biz Solutions can use these recordings as they need to. If the Client doesn't want this, they can email support@fitbizva.com to tell them.
6. WARRANTY:
Fit Biz Solutions will do services that the Client chooses, and these services will be done within the Client's business. Fit Biz Solutions doesn't promise any specific results or successes from its services. Instead, Fit Biz Solutions promises that its services will be done by qualified people in a professional way, following the standards of the industry.
This promise replaces all other promises, whether they're clearly stated or just implied. Fit Biz Solutions doesn't make any other promises, like a promise that the services are perfect for a certain type of business, or against breaking any rules. If Fit Biz Solutions breaks this promise, the Client's only solution is to have the services done again.
7. TRADE SECRETS AND CONFIDENTIAL INFORMATION:
In this agreement, "Trade Secrets" means any secret information about Fit Biz Solutions's business. This includes things like their methods, plans, and business experiences. It also includes any future improvements to these secrets. Because you are working with Fit Biz Solutions, they might share some of these secrets with you.
"Confidential Information" is any private knowledge or information about Fit Biz Solutions's business. This could involve their operations, future plans, financial information, Trade Secrets, and anything else that the public doesn't know. This also includes information about the people Fit Biz Solutions works with, like their employees, freelancers, customers, and other partners.
You promise to keep all this information secret. You won't use it for anything else than your work with Fit Biz Solutions, and you won't share it with anyone else without Fit Biz Solutions's written permission.
7. COVENANT NOT TO COMPETE:
The Client agrees that while working with Fit Biz Solutions and for two years after the agreement ends, they won't own a business that's similar to Fit Biz Solutions. The only exception is if they own less than 1% of a business whose stocks are registered with the government. They also won't sell to, or accept business from, any of Fit Biz Solutions's current or future customers that they worked with in the last two years. Lastly, the Client won't try to conduct business directly with any relationships between Fit Biz Solutions and its customers, future customers, contractors, suppliers, or workers.
8. INDEMNIFICATION AND LIMITATION OF LIABILITY ACTIONS:
To the fullest extent permitted by law, in no event shall Fit Biz Solutions be liable for any indirect, incidental, special, consequential or punitive damages (including, without limitation, loss of profits, data, use, or goodwill), whether in contract, tort (including negligence), or otherwise, arising out of or in any way connected with this Agreement, the Services, or the VA Services, even if Fit Biz Solutions has been advised of the possibility of such damages.
To the fullest extent permitted by law, in no event shall the aggregate liability of Fit Biz Solutions (whether in contract, warranty, tort, including negligence, or otherwise) arising out of or relating to this Agreement, the Services or the VA Services exceed the total amount paid by the Client to Fit Biz Solutions for the Services in the twelve months preceding the event that gave rise to the claim.
These limitations of liability shall apply regardless of whether the claim asserted is based on warranty, contract, tort, or any other theory of liability.
9. CONTRACT TERM AND TERMINATION:
If you want to cancel Fit Biz Solutions's monthly services, you need to tell them 30 days in advance. When you cancel, you'll be charged one last monthly fee. If your payment doesn't go through, Fit Biz Solutions will stop working until the payment is made.
Fit Biz Solutions can end this agreement and stop the services at any time if the Client does something bad. This could include dishonest business practices, breaking the law, harassment, hurting Fit Biz Solutions's reputation, breaking the rights of Fit Biz Solutions or someone else, or competing with Fit Biz Solutions's products or services.
When the agreement ends, the Client must stop using any materials, secrets, or other property from Fit Biz Solutions right away. All these things stay as Fit Biz Solutions's property.
Either Fit Biz Solutions or the Client can end this agreement at any time if the other side breaks a serious promise in this agreement and doesn't fix it. When the agreement ends or is canceled, the client will be charged a final monthly fee for their services.
10. RELATIONSHIP OF THE PARTIES:
Fit Biz Solutions, its workers, and anyone else doing work under this agreement are providing services to the Client as an outsourced service, not as employees of the Client.
Neither Fit Biz Solutions nor the Client can make deals, agreements, or promises in the other's name. They also can't make the other party owe money or anything else.
Each party will take care of paying and withholding any salaries, benefits, bonuses, and taxes for their own workers. Nothing in this agreement or in the way the parties work together means that they are employers, agents, partners, or are in a joint venture with each other.
11. FORCE MAJEURE:
Neither Fit Biz Solutions nor the Client will be blamed for not doing something they promised in this agreement, except for making payments, if something out of their control happens. This could be things like wars, natural disasters, problems with the internet or power, government rules, strikes, terrorism, or other similar events that they couldn't control.
If something like this happens, the affected party will try to let the other party know within five business days. If this problem lasts for more than sixty days, the party not affected by the problem can end this agreement.
12. ARBITRATION:
If there's a disagreement about this agreement that Fit Biz Solutions and the Client can't solve together, it will be solved by arbitration. This means a neutral person from the American Arbitration Association will make a decision about the disagreement.
Any court that has the power to do so can enforce the arbitrator's decision. The arbitration will happen in Ohio and will be in English. The arbitrator will have to follow Ohio's laws when making their decision.
The arbitrator's decision will be final, written out, and has to explain the reasons behind it. They can decide that one party has to pay the other money, but they can't decide to give damages for indirect losses, special damages, or enforce the agreement.
Each party will pay their own costs for the arbitration, no matter who wins. This is the only way to solve disagreements about this agreement. But, a party can still ask a court to stop the other party from doing something if it could cause serious harm.
13. ASSIGNMENT AND SEVERABILITY:
Neither Fit Biz Solutions nor the Client can give their rights or responsibilities from this agreement to someone else without the other party agreeing in writing. There are two exceptions where no agreement is needed: (a) if the rights/responsibilities are given to a company that the giving party owns more than half of, or (b) if the giving party is giving away almost all of their assets to another party. If the rights/responsibilities are given away without following these rules, it won't count.
14. RIGHTS, COUNTERPARTS, AND NOTICES:
The rights and solutions that Fit Biz Solutions and the Client have in this agreement add to any rights or solutions they have by law. They're not replacing them.
This agreement can be signed in multiple copies. Each copy is considered original and together they make up the full agreement. A signed page sent by fax or electronic signature counts the same as an original signed page.
All notices or other messages for this agreement have to be in writing. They count as received when they're hand delivered, sent by registered or certified mail, sent by overnight mail, or sent by email as long as the receiving party confirms they got it. 15. WAIVER AND MODIFICATIONS:
To give up a term or right in this agreement, it has to be in writing and signed by someone with permission from the party giving it up. If either Fit Biz Solutions or the Client doesn't enforce a part of this agreement, it doesn't mean they're giving up or changing that part. They can still enforce it later.
This agreement, along with anything attached to it, is the full agreement between Fit Biz Solutions and the Client. It replaces any previous agreements or talks between them, no matter how they were made.
To change, modify, add to, or subtract from this agreement or any part of it, it has to be in writing and signed by authorized representatives of Fit Biz Solutions and the Client.
16. FIT BIZ COACH FINANCING:
Fit Biz Solutions helps you find professional solutions that best fit your needs. But remember, these solutions aren't created or financed by Fit Biz Solutions, and we're not connected to the companies who offer them. Whether you can use a solution depends on approval. Also, the details of the programs, like rates and conditions, can change or end at any time without warning. There might also be other rules that apply.
You have to apply for these solutions in writing. This message doesn't give all the details about the solutions. You should carefully read all the information given after you apply. This message isn't a promise to approve a solution or provide a certain interest rate.
What we will do is give you a custom landing page for your business and a Portal to track funding. Once you get funding, Fit Biz Solutions will charge a 5% fee. If you don't get the full amount of funding, provide Fit Biz Solutions with access to the account that collects the funds and Fit Biz Solutions will only charge the 5% on the funds.
17. MARKETING TERMS AND CONDITIONS:
If you want to use an old ad, we won't turn it back on. Instead, we'll make it anew, but you have to give us everything we need to recreate it. This will insure the ad is set up properly, optimized correctly, and Fit Biz Solutions can track the ad properly.
Once we set up the ads, please don't touch, change, or adjust them on your own. If you do, we'll have to turn them all off and create them all over again. When you make changes without Fit Biz Solutions, the Fit Biz Solutions team can not maintain the ads, track changes for optimization, and effectively manage the ads.
If you want to change something about an ad, that's okay, you just have to submit a campaign modification request via the Order Solution Form.
No Refunds will be provided for Ad Spend, Monthly Services, or anything associated with running paid ads. Results not guaranteed.
Clients are advised that any direct modifications made by them are undertaken at their own risk and do not represent the outcomes endorsed by Fit Biz Solutions. Clients are strictly prohibited from intervening, altering, or adjusting any elements of their ads within the ad tool. Consequently, all ads will need to be recreated anew if such interference occurs. To prevent ad performance declines due to personal modifications, any modifications must be made through a Change Form and discussed with the Account Manager.
No new ads or modifications to existing ads will be completed without an order solution being submitted.
By signing below, I FULLY UNDERSTAND the following;
All Solutions Ordered are in a review process for 24-48 hours upon submission.
All Solutions Ordered will typically be broken down into multiple Projects to be properly completed.
Each Project is given a priority level of 1 - 3 based on business needs.
Your Virtual Specialist Team will only work on 1st Priority or Recurring Projects. Depending on the scope of work there could be multiple team members working the project at 1 time. However this is not always required.
Meetings with your Account Manager are required from time to time to make sure priorities are set for the top 3 Solutions your would like your team to complete.
Your Virtual Specialist Team will focus on 1 Project at a time, so we can complete them in a timely manner. If you would like multiple projects going at 1 time we can add additional subscriptions at a discounted rate of 10%.
